This Platform is operated and owned by TWR Advanced Technology S/A, hereinafter referred to as "TWR."

1. ABOUT THESE TERMS OF USE

These Terms of Use ("Terms") set forth the essential rules for the safe, transparent, and efficient use of the services provided by TWR.

By accessing or using our platform, you confirm your agreement with all the terms outlined in these Terms.

Other documents related to TWR, such as the Privacy Notice and any additional terms accepted throughout your use of the platform, are hereby incorporated into these Terms and shall be complied with for the proper utilization of our services.

2. HOW TO ACCESS OUR SERVICES?

To access the services, you must register on the Platform by providing your login information and confirming your awareness of the amount previously agreed with TWR.

The price and billing method will be defined by you at the time of contracting, based on the plans and payment methods available on the Platform. By completing your registration, you acknowledge and accept these conditions and assume full responsibility for the selected option.

If the registration is made on behalf of a legal entity, it must be completed by its legal representative, who declares to have the authority to enter into contracts on behalf of the company and assumes full responsibility for all obligations undertaken, including financial obligations, as set forth in these Terms.

3. HOW TO SIGN UP?

To register on TWR, you may be asked to provide the following information:

i. Name;
ii. Last Name (optional);
iii. Phone;
iv. Country;
v. E-mail;

By registering, you are responsible for the information and data you enter. If registering on behalf of a legal entity, you confirm that you have the authority to do so and take full responsibility for this declaration.

TWR does not validate, verify, or modify the data provided by the User and is not responsible for any errors, failures, losses, damages, or harm resulting from inaccurate, incomplete, outdated information or improper use of the Platform.

TWR holds the exclusive right to authorize the transfer or sale of access to the Platform to third parties and reserves the right to immediately revoke access for any user in violation of these terms, without entitlement to a refund.

By registering and using the Platform, you confirm your agreement to our Terms, Privacy Notice, and other policies that ensure a safe and comprehensive experience.

4. MONITORING AND USE OF LOGS

TWR may collect browsing data, usage metrics, and logs of actions taken on the Platform for the following purposes:

a) to ensure the proper functioning of the Platform;
b) to detect bugs or misuse;
c) to enhance functionality and improve user experience;
d) to ensure compliance with these Terms and applicable laws.

This data will be processed in line with our Privacy Policy guidelines and may be used for security measures and fraud prevention.

5. PAYMENT, WARRANTIES, AND CANCELLATION

5.1. Payment

Access to the platform will only be granted once you've selected one of the available plans, confirmed your payment, and, if applicable, agreed to these Terms.

Payment is made in advance and covers the current month. If the selected payment date does not exist in a particular month (e.g., the 31st), the charge will occur on the last business day prior.

The subscription will be renewed automatically unless the user states otherwise before the billing date.

Please note that the accurate issuance of tax documents depends on the information you provide during registration. Therefore, it is essential to keep your data up to date. We are not responsible for any delays or errors resulting from incorrect or outdated information.

Similarly, the selection of the subscription plan is the customer's sole responsibility. We recommend carefully choosing the option that best fits your needs, as we do not take responsibility for any incorrect selections.

Failure to pay any amounts due will not automatically terminate these Terms, but will result in the suspension of access to the platform until the outstanding payments are resolved.

Access to the Platform will only be restored once full payment of all outstanding amounts is confirmed. Please note that payment identification may take up to two business days from the payment date.

The pricing for the Platform's licensing plans is based on the US dollar (USD) exchange rate at the time of registration and each payment. As a result, prices may be adjusted daily in response to fluctuations in the exchange rate.

The final amount will be automatically converted to the local currency of the card used for the transaction, based on the exchange rate at the time of payment. Therefore, it is the Customer's responsibility to be aware of and accept any applicable exchange rate fluctuations.

5.2. Warranty Period

We offer a 7-day warranty period. If you're not satisfied with the Platform, you can request a full refund within 7 calendar days from the date the agreement with TWR is formalized. After this period, refunds will no longer be available, and payment for the plan will be processed according to the selected payment method.

Payments made in crypto assets (cryptocurrencies) are not eligible for refunds, including within the warranty period, due to the irreversible nature of these transactions and to exchange rate fluctuations.

5.3. Cancellation after the deadline specified in item 5.2.

Access to the Platform is granted upon advance payment, which covers usage for 30 (thirty) calendar days from the date of purchase. If you choose to cancel your subscription during this period, you will still have access to the Platform until the end of the paid term, with no additional charges.

To clarify: if the payment is made on January 10th, access will be available until February 9th. If you cancel on January 20th, for example, you will still have full access to the Platform until February 9th. The automatic renewal will only stop after this period ends.

Cancellation will only be processed if requested through the customer service chat or the customer portal within the platform. Requests made through any other channels will not be accepted.

7. RESPONSIBILITIES

7.1. Your Conduct

Using the Platform or any associated services or tools to compromise security or disrupt the functionality of the Platform or other users' accounts is strictly prohibited. Any behavior that harms, offends, or causes damage to TWR or other users will not be tolerated, including, but not limited to:

• Gaining unauthorized access to third-party accounts;
• Creating immoral, unethical, pornographic, erotic, or any other content that violates legal or moral standards;
• Using the Platform for illegal activities or in violation of these Terms;
• Employing unauthorized methods to obtain, provide, or extract information.

The password you create during registration must be strong and unique. It is personal and non-transferable, and you are fully responsible for its security. If you notice any unauthorized activity on your account, you must contact TWR immediately through the official channels.

The use of the Platform is your sole responsibility, and you agree to act in accordance with the guidelines set by TWR and comply with applicable laws.

Furthermore, by using the Platform, you grant TWR a broad, irrevocable, and global license to use the materials provided, including for commercial purposes.

In the event of a violation of the Terms, misuse of the Platform, or suspicion of fraud, access may be blocked, limited, suspended, or terminated without prior notice. TWR may also take appropriate actions, such as removing suspicious content or links, whenever risks to the Platform's integrity or conduct incompatible with its policies are identified.

To ensure compliance, TWR reserves the right to monitor the use of the Platform and take action when deemed necessary.

If any damages, fines, or penalties arise from improper use or the provision of false information, you agree to compensate TWR for the resulting losses.

7.2. Misuse and Immediate Suspension

The use of the Platform in violation of these Terms may lead to the immediate suspension of access, without prior notice, particularly in cases such as:

a) suspicion or evidence of fraud,
b) improper use of features,
c) violation of intellectual property,
d) attempts to improperly access third-party data,
e) conduct that jeopardizes the security or operation of the system.

In these cases, no refund or compensation will be provided to the User.

7.3. Prohibition of Illegal Use

It is strictly prohibited to use the TWR Platform for any unlawful purposes, including but not limited to activities that violate applicable laws, platform guidelines, or the rights of third parties. The User accepts full responsibility for any legal consequences resulting from the improper use of the Platform, in accordance with Articles 186 and 927 of the Civil Code.

7.4. Limitation of Liability for Improper Use

TWR shall not be held responsible for any illegal, fraudulent, or unethical conduct by its Users. Full liability lies with the account holder, who may be subject to civil and/or criminal penalties for any harm caused to third parties, partner platforms, or governmental authorities.

7.5. Right of recourse

If TWR is sued or becomes involved in legal proceedings as a result of acts committed by the User, it reserves the right of recourse and may seek full reimbursement for any losses incurred. This includes, but is not limited to, amounts paid in judgments, settlements, court costs, fines, and attorney's fees.

7.6. Responsibilities

Duty of Care. You are solely responsible for the correct configuration and proper use of the Platform, as well as for entering accurate and secure data. TWR shall not be held liable for:

• Incorrect configurations made by the User;
• Entry of false or inaccurate information on the Platform;
• Improper use of any feature or functionality available on the Platform;
• Any other use that does not comply with the established guidelines.

Furthermore, you are solely responsible for any content you upload, transmit, or share through the Platform and must ensure you have the necessary rights to use such material.

By using the Platform, you acknowledge and accept these conditions and assume full responsibility for your actions.

Disclaimer. TWR is not liable for any losses arising from issues with the functioning of the Platform, including service unavailability, connection interruptions, system malfunctions, technical failures, or any negative impact on the user experience. TWR is also not responsible for financial losses, loss of profits, data or revenue, damage to reputation, or any harm caused by third-party content accessed through the Platform.

There is no guarantee of specific performance on websites, social media, or any other channels the customer uses after the solution is implemented. It is the customer's sole responsibility to ensure their IT infrastructure is compatible and suitable for using the Platform.

Although TWR employs advanced protection mechanisms, absolute security against all forms of malicious traffic, intrusion attempts, or sophisticated attacks cannot be guaranteed. In such cases, TWR disclaims any liability for damages resulting from breaches that go beyond the reasonable security standards in place.

Additionally, TWR cannot be held responsible for the wrongful blocking of legitimate access, such as that of real users, when caused by incorrect configurations or failures in the automated traffic analysis performed by the Platform.

TWR's Rights and Responsibilities. TWR is not liable for any losses resulting from the use or unavailability of the Platform, except in cases of willful misconduct or gross negligence. The Platform may experience interruptions due to maintenance, updates, or external factors, and continuous operation is not guaranteed.

Functionalities may be modified or disabled as technology evolves, without prior notice or any obligation for compensation. Temporary suspensions may also occur for technical adjustments or force majeure events, always with a commitment to maintaining the security and quality of the service.

Any technical errors, bugs, or reported issues will be assessed and fixed within a reasonable timeframe, and they will not, by themselves, entitle the user to reimbursement or compensation.

8. DATA DELETION

The user can request the deletion of their personal information linked to their TWR account by emailing suporte@twrpay.com. Once the deletion request is made, all data related to interactions with the assistants will be permanently erased and cannot be recovered. Other account-related data, except for those required to fulfill tax and legal obligations, will be deleted within 90 days of the request.

It is important to note that we perform security backups for use in extreme cases, but these backups do not allow users to recover their data.

9. DATA PROTECTION AND SECURITY

TWR values your privacy and data protection. As such, we ensure that we do not access the content of interactions between users and the Platform's AI tools.

To ensure the security and confidentiality of this information, we utilize Amazon Web Services (AWS) infrastructure, globally recognized for its high protection standards, along with advanced encryption applied to all processed data.

We also reserve the right to investigate any violations of these Terms and cooperate with the relevant authorities when necessary. In response to valid requests, whether judicial or administrative, we may share data in compliance with applicable laws.

10. INTELLECTUAL PROPERTY

By using the Platform, you agree to respect the intellectual property rights of TWR and third parties, including all available content such as texts, images, trademarks, and logos, which may not be used without prior authorization.

Any improvements or adaptations made to the Platform, even if tailored to meet your specific needs, will remain the exclusive property of TWR. This includes all customizations, adjustments, or innovations made to the system, regardless of their origin.

Unauthorized use of any protected material for any purpose may lead to legal consequences. You are solely responsible for the use and management of the Platform.

Using the Platform does not grant any rights to TWR's trademarks or content, and formal permission is required for any use beyond what is expressly provided.

Failure to comply with these rules may result in civil and criminal penalties.

11. VALIDITY AND UPDATES

This Term will remain in effect indefinitely, as long as the Platform is active and available for use.

To monitor the evolution of our services and enhance the user experience, we may update this document periodically. When updates are made, you will be notified in advance, allowing you to review the changes at your convenience.

If, after an update, you do not agree with the new terms, you may choose to close your account or discontinue your use of the Platform. If you are unable to delete your account directly through the system, simply contact our team via official channels to request deactivation.

12. FINAL PROVISIONS

These Terms are governed by applicable Brazilian legislation, and the jurisdiction of the District Court of Florianopolis/SC (Brazil) is hereby elected as the exclusive competent court to resolve any disputes related to these Terms, with an express waiver of any other jurisdiction, regardless of how privileged it may be.

The use of TWR services does not establish any partnership, sponsorship, or endorsement by TWR of your products, content, or services. Therefore, no institutional relationship exists between the parties.

The relationship between you and TWR is non-exclusive and independent, allowing for external partnerships outside of this agreement. By contracting our services, you grant permission for the use of your name and logo in our institutional materials. You may revoke this authorization at any time by contacting us as outlined in Clause 6.

Neither party will be held liable for delays or failures caused by unforeseeable events beyond their control. This contract is legally binding, and your digital acceptance is recorded through your credentials and IP address, ensuring its legal validity.

If any clause is deemed invalid, the remaining clauses will remain unaffected. Additionally, the failure to assert a right does not constitute a waiver of that right. If you have any questions, our team is available to assist you.
