THE WHITE RABBIT — TERMS OF USE

These Terms of Use (“Terms”) govern access to and use of The White Rabbit, a software-as-a-service (SaaS) online link control and marketing service (the “Service”) available at https://thewhiterabbit.app (the “Website”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with these Terms (or any part of them), do not access or use the Service.

BY COMPLETING THE REGISTRATION PROCESS OR USING THE SERVICE, YOU (AND, IF APPLICABLE, THE ENTITY THAT YOU REPRESENT, AS WELL AS ANY THIRD PARTY ACCESSING THE SERVICE ON YOUR BEHALF) ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.

1. Eligibility and Account Registration

To register and create an account, you must provide complete, current, and accurate information as requested, including a valid email address and credentials. You represent and warrant that you have the legal capacity to enter into these Terms.

You are solely responsible for:

  • maintaining the confidentiality and security of your login credentials;
  • all activities conducted through your account (including by any third party accessing the Service on your behalf);
  • ensuring your account information remains accurate and up to date.

You must notify The White Rabbit immediately of any unauthorized use of your account or any security breach.

2. Support Access

The White Rabbit may access your account for support, maintenance, or security purposes. When reasonably possible, we will endeavor to provide advance notice.

3. Subscription, Billing, Activation, and Expiration

Access to the Service is provided on a subscription basis. By subscribing, you authorize The White Rabbit to charge the subscription fees in accordance with your selected plan and billing cycle through the payment method you provide (e.g., credit card, crypto assets, or other available methods).

You agree that:

  • you are responsible for keeping your payment method current and valid;
  • failure to pay any amounts when due may result in suspension, limitation, or deactivation of your account and/or the Service.

Unless otherwise expressly stated, fees are non-refundable, except where required by applicable law or expressly provided in these Terms or a specific written policy.

3.1. Crypto Payments (Non-Refundable)

Payments made in crypto assets (cryptocurrencies, stablecoins, and similar digital assets), by any means (including on-chain transfers, exchanges, wallets, or intermediaries), are irrevocable and irreversible and therefore not eligible for refunds, reversals, chargebacks, or returns, in whole or in part, under any circumstances. By choosing to pay with crypto assets, you assume all risks, costs, and fluctuations (including network fees and price volatility) and expressly waive any right or claim to restitution or compensation, including due to third-party failures/limitations or network/address errors.

4. License Grant

Subject to your compliance with these Terms, The White Rabbit grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for your internal commercial purposes during an active subscription.

No rights are granted except as expressly set forth in these Terms.

5. Third-Party Accounts and Data

The Service may enable you to connect or direct The White Rabbit to obtain information from third-party platforms or providers with whom you have a relationship (“Third-Party Providers”). You authorize The White Rabbit to access, process, and use such data only as necessary to provide the Service.

The White Rabbit does not control Third-Party Providers and assumes no responsibility for the accuracy, legality, availability, or reliability of any third-party data, services, or content.

6. Acceptable Use and Site Conduct

You agree to use the Service in compliance with applicable laws and regulations. You are responsible for all content, links, campaigns, and communications transmitted or made available through the Service.

You must not (and must not allow any third party to):

  • use the Service for unlawful, fraudulent, deceptive, or harmful purposes;
  • transmit illegal, threatening, abusive, harassing, defamatory, obscene, or privacy-invading content;
  • violate intellectual property rights, publicity rights, privacy rights, or any other rights of any person or entity;
  • attempt to gain unauthorized access to the Service, systems, or networks;
  • interfere with, disrupt, or degrade the integrity or performance of the Service;
  • reverse engineer, decompile, disassemble, or attempt to derive source code from the Service (except to the extent prohibited by law);
  • use the Service to distribute malware, viruses, or other harmful code.

The White Rabbit may suspend or terminate access to the Service for violations of this section, as further described in Section 12.

7. Privacy

The White Rabbit is committed to protecting your privacy as described in our Privacy Policy, which is incorporated by reference into these Terms.

You consent that The White Rabbit and its affiliates may collect, process, maintain, and use information related to your use of the Service:

  • to provide and improve the Service;
  • to prevent fraud and enhance security;
  • to verify compliance with these Terms;
  • to perform analytics and develop new features.

9. Confidentiality

Each party may receive confidential or proprietary information from the other (“Confidential Information”). Each party agrees to protect the other party’s Confidential Information with at least the same degree of care it uses to protect its own confidential information (and no less than reasonable care) and to use such Confidential Information only for purposes of performing under these Terms.

Confidential Information does not include information that: (i) is publicly available without breach; (ii) was lawfully known prior to disclosure; (iii) is independently developed without use of Confidential Information; or (iv) is lawfully obtained from a third party without confidentiality obligation.

10. Proprietary Rights; Restrictions

The Service, the Website, and all underlying technology, software, algorithms, design, text, graphics, and other materials are owned by The White Rabbit or its licensors and are protected by intellectual property laws.

Except as expressly permitted in these Terms, you may not copy, modify, distribute, sell, lease, sublicense, or otherwise exploit the Service or any portion of it.

11. Indemnification

You agree to defend, indemnify, and hold harmless The White Rabbit and its officers, directors, employees, contractors, and affiliates from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • your use of the Service;
  • your content, links, campaigns, and communications;
  • your violation of these Terms or applicable law;
  • infringement or misappropriation of any third-party rights.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WHITE RABBIT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

THE WHITE RABBIT DOES NOT WARRANT THAT:

  • THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED;
  • THE SERVICE WILL BE AVAILABLE AT ALL TIMES;
  • DEFECTS WILL BE CORRECTED IMMEDIATELY;
  • THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE WHITE RABBIT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WHITE RABBIT’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO THE WHITE RABBIT FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

(Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.)

14. Suspension and Termination

The White Rabbit may suspend, restrict, or terminate your access to the Service at any time if:

  • you violate these Terms;
  • payment is overdue;
  • your use poses security, legal, or operational risk to the Service, other users, or third parties.

Upon termination, the license granted in Section 4 ends immediately.

15. Changes to These Terms

The White Rabbit may update these Terms from time to time. Changes will be posted on the Website and will become effective upon posting (or on a later date if indicated). Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

16. Compliance

You agree to use the Service in compliance with all applicable laws and regulations, including laws related to intellectual property, advertising, consumer protection, data protection, and electronic communications.
